Meta creates non-voting Class C stock, citing capital raising and AI spending

Meta said Oct. 21 its board approved non-voting Class C stock, issued as a one-for-one dividend (roughly a two-for-one split), effective in January. Meta lists capital raising, pay and acquisitions, including AI spending, as uses. Voting power is unchanged. Zuckerberg may sell up to 20% of his Class C shares, which the filing ties to California's Prop 40 billionaire tax.
